1. Definitions
"Platform" or "we" means ICLICK INTERACTIVE ASIA LIMITED, registered at Unit B, 18/F, MG Tower, 133 Hoi Bun Road, Kwun Tong, Kowloon, Hong Kong, which operates the MIA Platform and provides the services described in these Terms.
"User" or "you" means any natural person who registers for and uses the Platform's services.
"Account" means a personal account registered on the Platform, including the associated MIA Points wallet and entitlement records.
"MIA Points" or "Points" means the prepaid credit units issued by the Platform that may be redeemed within supported Platform products to consume AI compute and related services. Points are not currency, are not financial instruments, and do not represent any form of investment or stored-value product.
"Top-Up" means the purchase of MIA Points by a User through a supported payment channel and their crediting to the User's Account.
"Product" means any AI service, feature module, or tool offered on or through the Platform that consumes MIA Points.
"Consumption" means the deduction of Points from an Account's balance when executing AI tasks, as recorded by the Platform's credit ledger.
2. Eligibility
2.1 Age
You must be at least 18 years of age to use the Platform's services. The Platform does not provide services to persons under 18. If the Platform determines that an account holder is under 18, it will close the Account and handle any unconsumed Points under the MIA Points Refund Policy.
2.2 Other Requirements
By using the Platform, you represent and warrant that: you are acting on your own behalf and not as an agent for any third party; the laws of your jurisdiction permit you to access the Platform and to use your chosen payment method; and the registration information you provide is truthful, accurate, and complete.
2.3 Account Type Restriction
Self-service Top-Up is currently available for personal Accounts only. Organisation Accounts must contact a Platform administrator or follow the contractual allocation process to obtain Points; the Top-Up provisions of these Terms do not apply to organisation Accounts.
3. Account Security
You are responsible for keeping your account credentials confidential and must not share your Account with any other person. If you believe your Account has been accessed without authorisation, contact Platform support immediately. The Platform is not liable for Points lost as a result of your failure to exercise reasonable care over your credentials.
4. Purchasing MIA Points
4.1 Payment Methods
The Platform processes payments through the Stripe-hosted checkout page, currently supporting the following channels (availability may vary by region or account status):
- Alipay (international version)
- WeChat Pay (international version)
- International credit and debit cards (Visa, Mastercard, and others)
4.2 Currency
Top-Up amounts are denominated in United States Dollars (USD). If you pay with a non-USD method, your payment provider will convert the amount at the prevailing exchange rate at the time of payment. The Platform is not responsible for exchange-rate fluctuations and will not reimburse currency conversion fees or differences.
4.3 Top-Up Limits
The Platform applies per-transaction and cumulative top-up limits. Current limits are displayed on the checkout page at the time of purchase. Limits may increase based on your Account's payment history. The Platform reserves the right to reduce or suspend an Account's top-up capacity for risk-management reasons without prior notice.
4.4 Billing Statement Descriptor
For credit or debit card payments, the merchant name shown on your bank statement will be "MIA". If you do not recognise a charge, please contact Platform support to verify the transaction before initiating any dispute with your card issuer.
4.5 Payment Confirmation and Points Credit
Points are credited to your Account only upon the Platform's receipt of a confirmed payment notification from the payment processor. The user's return to the success page does not constitute confirmation. Points typically appear within a few minutes of payment confirmation. The Stripe checkout session expires after 30 minutes; if you do not complete payment within that window, you must initiate a new top-up.
4.6 Risk Review and Transaction Holds
The Platform reserves the right to decline, hold, or restrict a top-up transaction for risk-management reasons, including but not limited to: triggering an automated fraud review, unusual account activity, or suspected policy violations. Points will not be credited during a hold. The Platform will notify you of the outcome once the review is complete.
4.7 Additional Authentication (3-D Secure)
For credit and debit card payments, your card issuer may require additional cardholder verification (3-D Secure / 3DS). Please complete any verification step prompted on the checkout page; failure to do so will result in a declined payment.
5. Using MIA Points
5.1 Permitted Use
Points may only be used to redeem AI compute and related services within supported Products on the Platform. Points may not be used for any other purpose.
5.2 Validity
Points purchased through a Top-Up are permanently valid and do not expire. Complimentary or promotional Points (for example, sign-up grants) may carry a separate expiry date communicated at the time of issuance. Where an Account holds both expiring and non-expiring Points, the Platform will consume expiring Points first.
5.3 Non-Transferability
Points belong to the Account that purchased them. They may not be transferred to another Account, split, gifted, sold, or otherwise assigned. Any attempt to transfer Points out of an Account is void, and the Platform may take remedial action including account suspension.
5.4 No Cash Value
Points have no cash value. They may not be exchanged for cash, credit, or any monetary equivalent, and may not be refunded to the original payment method except as expressly set out in the MIA Points Refund Policy.
5.5 AI-Generated Output
The Platform delivers its services by calling third-party model APIs. Output obtained through Platform Products is generated automatically and may be inaccurate, incomplete, or otherwise unsuitable. It does not constitute medical, legal, financial, or other professional advice. You are responsible for your use of such output and should verify it before relying on it.
Where required by applicable law — including, without limitation, the PRC Measures for Labelling AI-Generated and Synthetic Content — the Platform may apply explicit or implicit labels to generated content. You must not remove, alter, forge, or conceal such labels, nor provide tools or services enabling others to do so.
6. Acceptable Use
You agree not to:
(a) purchase Points using fraudulent payment credentials, stolen payment methods, or any form of deception;
(b) sell, rent, sublicense, or otherwise transfer your Account, Points, or access to the Platform's services to any third party;
(c) use technical means or circumvent Platform controls to bypass top-up limits, risk-management mechanisms, or service access restrictions;
(d) register multiple Accounts to obtain sign-up grants or other one-time promotional benefits more than once;
(e) engage in any conduct that violates applicable laws or regulations;
(f) use the Platform to generate, reproduce, publish, or disseminate content prohibited by law, or content that endangers national security, the public interest, or the lawful rights of others;
(g) remove, alter, forge, or conceal any label applied by the Platform to AI-generated content as required by law.
Where the Platform reasonably determines that you have violated this section, it may suspend or terminate your Account, handle any remaining Points in accordance with the Refund Policy, and reserve the right to pursue available legal remedies.
7. Service Changes and Suspension
The Platform may modify, suspend, or discontinue any part of its services with advance notice. If the Platform permanently discontinues a service and your Account holds unconsumed purchased Points as a result, the Platform will provide a reasonable compensation arrangement and notify you accordingly.
The Platform is not liable for service interruptions caused by force majeure, third-party payment processor failures, or regulatory requirements, but will make reasonable efforts to restore services promptly.
8. Data Processing
How the Platform processes your personal data is set out in the MIA Platform Privacy Policy, which forms part of your agreement with the Platform and should be read alongside these Terms.
9. Intellectual Property
All intellectual property rights in the Platform and its Products — including software, interface design, model services, and branding — belong to the Platform or its licensors. These Terms do not grant you any intellectual property rights beyond those necessary for normal use of the services.
You retain ownership of content you submit or generate through the Platform, but grant the Platform a licence to use such content to the extent necessary to provide the services.
10. Disclaimers and Limitation of Liability
Please read this section carefully: the provisions in bold exclude or limit the Platform's liability.
10.1 Services Provided As-Is
To the maximum extent permitted by applicable law, the Platform's services are provided on an "as is" and "as available" basis. The Platform makes no express or implied warranty as to uninterrupted availability, accuracy of AI-generated outputs, fitness for a particular purpose, or the reliability of any third-party payment channel.
10.2 Liability Cap
The Platform's total aggregate liability to you for any claim arising from these Terms or the Platform's services shall not exceed the amount you actually paid to the Platform in the 180 days preceding the event giving rise to the claim.
10.3 Force Majeure
The Platform is not liable for losses caused by network outages, payment processor failures, government actions, natural disasters, or other events beyond its reasonable control.
10.4 Consumer Protection Carve-Out
Nothing in this section excludes liability that cannot be excluded under applicable mandatory consumer-protection law, nor does it limit liability for the Platform's gross negligence or wilful misconduct.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws rules.
In the event of a dispute, the parties shall first attempt to resolve it by good-faith negotiation. If negotiation fails, either party may bring proceedings before the courts of the Hong Kong Special Administrative Region with jurisdiction over the matter.
Consumer carve-out: where you use the services as a consumer, this section does not exclude or limit any consumer-protection right available to you under the mandatory law of your place of habitual residence, nor your right to bring proceedings before a court having jurisdiction under that law. For consumers in mainland China, the choice of forum above does not affect your statutory right to bring proceedings before a competent People's Court.
12. Contact Us

We will respond within a reasonable time after receiving your request.
13. Amendments
The Platform reserves the right to amend these Terms at any time. Amendments will be communicated via Platform announcement or by email to your registered address. Your continued use of the Platform after an amendment takes effect constitutes your acceptance of the revised Terms. If you do not agree to an amendment, you should cease using the Platform and may request account closure.
